Article 1. Name, Authority, and Purpose
Section 1. Name: The name of this organization shall be Misawa Enlisted Spouses Club, hereafter known as the MESC and is established pursuant to the provisions of AFI 34-223, and in accordance with all applicable civil and military laws and regulations. Operation is contingent on compliance with the requirements and conditions of all applicable Air Force regulations. Section 2. Purpose: The Misawa Enlisted Spouse Club (MESC) is a social and charitable organization for the Misawa community and operates on Misawa Air Base only with the written consent of the Commander, 35th Force Support Squadron. It is operated by an executive business board in combination with suggestions and ideas from the general membership and donates to the community on Misawa Air Base. This organization shall not take part in any election, campaign or any other political activities, nor shall it suggest to its membership any political course of action. Membership is open to all enlisted Misawa community members; including, but not limited to, Air Force, Navy, Army, Marine personnel and their dependents. Membership is also open to enlisted civilian grade counterparts. Honorary membership shall be open to any local area national. Please see bylaws for more guidelines on honorary membership. Section 3. Parliamentary Authority: Roberts Rules of Order shall be the parliamentary authority in all matters not specified in the constitution and bylaws. Article 2. Membership
The purpose of this organization shall be to provide charitable donations to the Misawa community, along with a quarterly social meeting to help bring the Misawa community together. This organization will conduct itself in a manner which is free of racial discrimination and provide equal opportunity and treatment for all members and prospective members regardless of their race, color, religion, sex, handicap, age, or national origin. Section 1. Qualifications: active members may include: · Active Duty enlisted personnel who are assigned to Misawa Air Base, Japan. · Spouses of Active Duty enlisted personnel who are assigned to Misawa Air Base, Japan. · Must be eighteen (18) years of age. · Enlisted grade civilian employees and enlisted retirees, their spouses, and dependants over 18 years of age, who reside in the Misawa, Japan area. · The spouse or designee of the 35th FW Commander or Command Chief Master Sgt will hold the title of Advisor. · Any Japanese National residing in the local Misawa area may hold honorary membership. · Grandfathered (see bylaws) officer spouses and members may hold membership until their DEROS, as of February 23rd, 2008. Section 2. Membership Application: Any person wishing to join this organization will make an application at a regular membership meeting or membership drive. Meetings will consist of any business or social meeting. Application must be in writing. Electronic submission will be accepted through the group’s official website. Section 3. Membership Termination: Membership in this organization will be terminated: · Upon request or PCS of the member concerned. · If the member fails to meet financial responsibilities. · Upon recommendation from the business board after a complete review of the circumstances and approval of the general membership. Section 4. Officers: Officer Positions shall be established by the bylaws of this constitution. Article 3. Finances
Section 1. Dues shall be paid by the active members of this organization. Section 2. The dues shall be established by the bylaws of this constitution. Section 3. Sources of Income Internal fund-raisers, as approved by the membership. Community wide fund-raisers, as approved by the general membership, the Commander, and the 35th Force Support Squadron. Income earned from Misawa Thrift Store. Section 4. Money collected will be used for operation of this organization, social meetings and charitable donations: including, but not limited to; spouse scholarship program, high school senior scholarship program and various other fund requests. Section 5. Funds requests must be made in writing and in person. The written portion must be submitted 30 days in advance and will be addressed at the next available business meeting. POC for the funds request must appear at the business meeting and will be on the agenda. The POC will have ten minutes, a five minute presentation of their request and a five minute question and answer period. After their presentation, the POC will be asked to leave and the membership present will vote on the proposal. The POC for the funds request will be notified in writing by letter whether the request has been granted. If it is denied, a reason is not required to be on the letter. No checks will be cut for an individual, it must be written to an organization. Board members are not eligible to make funds requests for other organizations. Article 4. Meeting and Quorums
Section 1. Business Meetings: Business meetings shall be held once a month or as determined by the executive board. This meeting is open to all members. See bylaws Article 1. Section 2. Social Meetings: Social meetings shall be held quarterly. They will be hosted by active members. The social meeting shall be set three months in advance. The meeting date can be changed by the monthly host but, three weeks notice must be given to the general membership. Additional socials and meetings may be held on a more frequent basis, but would be determined by the desires and needs of the membership. Section 3. Quorum: A quorum must be present to hold a business meeting. Four out of the six board members constitutes a quorum. A motion carries with a simple majority vote of everyone present at the business meeting. Article 5. Insurance
Section 1. The organization (Misawa Enlisted Spouses Club) will maintain liability and property damage insurance coverage commensurate with risk to protect against any claims or lawsuits which might arise from the commission or omission of acts by its members when acting in any capacity for or in participating in any activities of the organization. Such coverage, when required, must expressly provide that neither the U.S. Government nor any Non-appropriated Fund instrumentality will be liable for any claims or judgments against the organization to its members. A copy of the insurance policy and all renewal policies will be forwarded to the 35th Services Squadron Private Organizations Monitor. If insurance is not deemed necessary, submit a request for Waiver of Insurance requirement to the 35th Force Support Squadron Private Organizations Monitor for approval by the Commander, 35th Force Support Squadron. Section 2. All members of the club participate in events, socials and activities at their own risk. The club will not be held financially responsible for any accidents or incidents that may occur. Members should consider their own insurance responsibilities prior to participating in club sponsored activities. Article 6. Dissolution
Section 1. This organization will notify 35th Force Support Squadron Private Organizations Monitor of its intent to dissolve and prepare a time-phased action plan to do so. Section 2. In case of dissolution of the organization, any funds in the treasury after satisfaction of any outstanding debts, liabilities or obligations, the advisor will appoint a committee who will make recommendations for the final disbursement of any residual funds. Disposal of other assets shall be determined by the membership. For the purpose of this article, a member is defined as one whose name is carried on the roll of the active members as of the date of notification. Section 3. In the event that a Non-appropriated Fund Instrumentality fills the need for which this private organization is established, this organization will be dissolved by direction of the Commander, 35th Force Support Squadron. Under those circumstances, all financial transactions of dissolution would be concluded separately and apart from the operation of any activity established as a non-appropriated fund instrumentality. Section 4. The Commander, 35th Force Support Squadron, has the authority to dissolve this organization in the event that there are no members present or in the best interest of the United States Air Force. Article 7. By Laws
Bylaws shall be established or changed by the membership of the organization. Individual bylaws may be initiated, changed or eliminated by two-thirds (2/3) vote of the voting members at any meeting with two (2) weeks notice. Article 8. Amendments
Section 1. This constitution may be amended at any scheduled meeting of the Misawa Enlisted Spouses Club by two-thirds (2/3) vote of the membership present and eligible to vote, provided that a written or public notice of the proposed amendment has been given to the membership at least two (2) weeks prior to the meeting. Amendments to the constitution can be proposed by any of the executive board or by written petition of two-thirds of the membership at any meeting. All amendments are subject to review and final approval by the 35th Force Support Squadron. Section 2. Conflicts of any provision of the constitution or bylaws with existing military directives will be changed administratively subject to the final review of the Commander, 35th Force Support Squadron. |
